Lubricants operations and orders

These Conditions of Use (hereinafter the “Conditions of Use”) regulate the terms and conditions applicable to access and usage of the Repsol Lubricants Portal (hereinafter the “Lubricants Portal”) Online Service (defined below) through your electronic device (hereinafter the “Device”).

In order to access the Lubricants Portal, you must have a Repsol online services login account (hereinafter “Your Account”). An Online Service is any electronic service available to customers and users of the Repsol Group that requires a username and password for usage. We are talking about services that can be accessed from web pages, mobile applications, or other similar locations that require registration.

If you have not already created Your Account with Repsol, Repsol, S.A. will make one when you register on the Lubricants Portal. This account will allow you to register for and manage your activity in the different Online Services we offer. As the user, you will be solely responsible for contracting and using the Online Services for which you register, in accordance with the limitations announced by Repsol in each case.

The Lubricants Portal is a website owned by Repsol, S.A. with Tax ID A-78374725, registered in the Mercantile Registry of Madrid Volume 7063 general, 6058 of section no. 3 of the Companies Book, folio 119, page 72,059-1, inscription no. 1, and with its registered offices at 28045 Madrid, Méndez Álvaro, 44 (hereinafter “Repsol”), which, as the holder of the exploitation rights, authorizes Repsol Lubricantes y Especialidades, S.A. (hereinafter “RLESA”), the entity with which you have a commercial relationship, to use the software. These Conditions of Use regulate your relationship with both entities.

  • With Repsol S.A as the owner of the Lubricants Portal and for providing Your Account.
  • With RLESA as the entity authorized to exploit the Lubricants Portal to manage your private customer area and product orders.

We recommend that you read these service conditions carefully. They complement the Legal Notice, Privacy Policy, and Cookies Policy applicable to the Lubricants Portal, in addition to the product distribution or sales contract that you have with RLESA as a customer.

 

Scope and use

These Conditions of Use are limited to regulating access to your restricted customer area and are applicable to all users of the Lubricants Portal for RLESA customers, which allows you to interact digitally in the framework of your contractual relationship with RLESA in order to place, manage, and track your product orders.

In order to access and use the Lubricants Portal, there must be a product distribution or sale contract in force between the company that you represent and RLESA (hereinafter the “Contract”), which will be applicable to the request, management, and execution of orders issued, and will prevail in the case of aspects not covered in these Conditions of Use, or in the event of a contradiction with the latter.

 

Managing your orders

Who can place orders: Legal and natural persons that meet the following requirements may place orders on the Lubricants Portal:

  • In the case of natural persons, be aged over eighteen (18) and not have any limitations or restrictions placed on their legal capacity.
  • In the case of legal persons, be legally constituted and not be affected by any contracting bans, with the order being placed by a natural person that has sufficient authority to access the Lubricants Portal and enter into binding agreements in the name and on behalf of the company.
  • Have a contract in force with RLESA.
  • Have Your Account as a Single Repsol Customer, and therefore be registered for the Online Service.
  • Have accepted the Lubricants Portal Conditions of Use.

How to make orders:

  • You must enter the Lubricants Portal and select the products and quantities you need to include in the order, in addition the destination of the goods. Alternatively, you can make the order request by uploading the template available on the Lubricants Portal in accordance with all of the indications and instructions on each screen, and providing the details required at any time. Minimum purchase volumes may be applied when making the order request. In this case, these will be displayed on the screen when making the request.
  • Once you have made your selection, the details of the products, quantities, and destination included in the order will appear on the corresponding screen, as well as the amount to pay.
  • Once you have sent your order request, you will receive confirmation of receipt and the assigned Order number. Confirmation of receipt does not imply that the Order has been confirmed. It will be confirmed once RLESA has verified the debt situation, customer risk limit, and whether the order request is in accordance with the Contract.
  • In the event that there are no incidents with your order request, you will be informed that your Order has been confirmed in the “Order Tracking” area of the Lubricants Portal. If there is a situation of debt, the risk limit has been exceeded, or the request is not in accordance with the Contract, confirmation of the Order request will be suspended until the incident has been resolved.
  • Once the Order has been confirmed, the Plant will check availability of the product and the requested volumes in order to generate the corresponding delivery order(s). RLESA does not guarantee the availability of all the products on the Lubricants Portal until it has been confirmed by the Plant.

Order delivery:The preferred delivery date will be indicated in the Order request, although the effective delivery date will depend on product availability and transit time.

Changes in Order requests: Order requests that have been made and sent through the Lubricants Portal may be modified in the Lubricants Portal until RLESA has generated the corresponding delivery order. From this point, you may no longer modify the order through the Lubricants Portal and, if necessary, you must contact us through the available Customer Service channels indicated below in these Conditions of Use.

Cancellation of Order requests: Once and Order request has been sent it cannot be canceled through the Lubricants Portal. If necessary, you must contact us through the available Customer Service channels indicated below in these Conditions of Use.

You can see the status of your ongoing and past orders at any time in the Order Tracking section of Your Account.

 

Guarantees

The information generated as a result of using the Lubricants Portal is the property of RLESA.

As a user, you:

  • declare that you are authorized by the company you represent to manage and make orders in its name.
  • accept that your use of the Lubricants Portal, including the various management elements and features offered, is at your own risk, guaranteeing that these Conditions of Use are fulfilled.
  • guarantee and undertake to access the Lubricants Portal using your own means. Likewise, you are responsible for ensuring compatibility and guaranteeing the necessary security and confidentiality requirements are met in order to enable secure access.

you will be responsible for:

  • checking that the software is compatible with your Device and operating system; consequently, you accept liability for any damages to your device caused by use of the software, including installation.
  • keeping Repsol information secure and preventing unauthorized third-party access.
  • ensuring that the data generated through use of the Lubricants Portal are true and accurate.
  • keeping your log-in details secret and applying the necessary procedures to keep them confidential and prevent unauthorized use.
  • duly storing and safeguarding your username, password, and security code, preventing third-party access to this data.
  • informing Repsol and/or RLESA immediately in the event that Repsol information or “Your Account” log-in details are lost, stolen, misappropriated, or used without authorization, as well as, in general, any other events that could compromise the security of the Lubricants Portal or Your Account.

RLESA reserves the right to update, modify, or eliminate the information contained in or generated by the Lubricants Portal, and may even limit or not allow access to this information, to Your Account, or to the Lubricants Portal without warning and, in particular, when it considers that the circumstances pose a risk for the security of the Lubricants Portal or the confidentiality of information owned by RLESA. In this case, you will be warned before or, if this is not possible, immediately after Your Account has been suspended or canceled. Your Account will be reactivated once the causes behind RLESA’s decision have disappeared.

Repsol has adopted the reasonably necessary means to ensure that the Lubricants Portal functions properly and can be correctly accessed and used, and is also free of viruses or malware. However, Repsol does not guarantee the total availability of the Lubricants Portal as (i) it depends on the communications network and the communications service provider, (ii) access and use of the Lubricants Portal is conditioned by the correct operation of your Device’s operating system, and (iii) RLESA’s Portal is used in accordance with the provisions established in these Conditions of Use. Repsol will not be held liable in the event that your Device is affected by a computer virus or malware that could cause changes to your computer system.

 

Intellectual property rights ownership

The entire Lubricants Portal, i.e., the elements it includes (texts, images, trademarks, commercial names or distinctive signs of any kind, logos, audio files, software files, color combinations, etc.), as well as the structure, selection, and order of the contents, are exclusively owned by Repsol, S.A. and are protected by Intellectual and Industrial Property regulations.

As the holder of the intellectual property rights, Repsol has authorized RLESA to use the Lubricants Portal. This use includes the total or partial reproduction of the software, exclusively through use, download, execution, and display on a Device. Access to and use of the Lubricants Portal does not entitle users to any rights. Therefore, they may not be used, reproduced, distributed, transformed, made public, transferred, or disseminated in any other manner without express authorization from Repsol.

Any comments, opinions, or feedback on the usability of the Portal that you provide will be carefully analyzed and evaluated, and in the event that your comments generate an idea or improvement, you accept that this will be exclusively owned by Repsol. Repsol reserves the right to make changes and/or improvements to the software or these Conditions of Use at any time and without prior warning.

In the event of third-party claims regarding a breach of the intellectual and/or industrial property rights related to the Lubricants Portal and/or its usage by the user, Repsol will be solely responsible for the investigation, defense, reconciliation and fulfillment of these claims.

 

Your personal data

We need to process your personal data to allow you to use the Lubricants Portal and create Your Account with Repsol. Below we present basic information about how we process your personal data:

  • Repsol Lubricantes y Especialidades, S.A.: Any data you provide when carrying out transactions as a user; data associated with Your Account; data you provide regarding your employees, who you must notify of the contents of this clause; data provided by companies that manage shared files related to the fulfillment of monetary payment obligations; data on incidents, complaints, suggestions, or queries; and data provided by other Repsol Group companiesl1, in the case that you have authorized them to do so. If, as a supplier, you have provided data on your employees, you hold the Repsol Group harmless regarding any data processing carried out in the detailed terms; lack of information; or lack of free, voluntary, express, and informed consent.
  • Repsol, S.A.: registration data and other data associated with Your Account, such as products and/or services of which you are a customer or user and data on incidents, suggestions, queries or claims.

(viii) Transfer to the Repsol Group1 Communicate your data to other Repsol Group companies1 so that they can enrich their databases by obtaining information belonging to other Repsol Group companies1, analyze behavior patterns for internal big data purposes, and gain an integral knowledge of the client in all its relations with the group. (ix) Marketing of third party products Send your sales information about the third-party products and services identified below2. All sales information may be sent by any means, including electronically. Your consent. Repsol Lubricantes y Especialidades, S.A.

(2) Sales information will be sent about the following products and services: invitations to informational, sports, and recreational events; promotions; contests; drawings; and sales information about the energy solutions, transport, mobility, automotive assistance, insurance, finance, leisure, travel, home, sports, gastronomy, loyalty programs, payment methods and services, and telecommunications sectors.

Transfer to third parties

As a general rule, we do not transfer your data to third parties, except in the following cases: (i) anywhere required by law; (ii) service providers acting as data processors; (iii) third parties who hold shared files regarding the fulfillment of monetary payment obligations, in the event you are in default; (iv) third parties who own services or products that the user voluntarily requests (e.g., when the user wishes to benefit from an offer from another Repsol Group company1 or partner, or when they request financing); (v) other Repsol Group companies1 for the purposes of enriching and creating profiles, pursuant to the section on processing purposes, if you have given the corresponding consent.

Data storage

We will process your data for the duration of the contractual relationship. Once the contractual relationship has terminated or Your Account has been canceled, as applicable, your data will be stored solely for the purposes of responding to any type of legal liability.

Nevertheless, if we notice that you have not used or interacted with Your Account or any of our Online Services for a period of two (2) years, we will cancel Your Account, deregister you from any Online Service you are signed up for, and store your data solely for the purposes of responding to any type of legal liability.

Data subject rights

Access, rectification, erasure, restriction of processing, portability, and the right not to be subject to decisions based solely on automated processing. Additionally, you may withdraw your consent at any time. You may exercise these rights by writing to the registered address of the entity acting as the data controller, or by sending an email to sacportal@repsol.com. You may also lodge a complaint with the data protection authority at any time.

International transfers

Those necessary as a result of our relationship with service providers, with the safeguards established in the Privacy Policy available on www.repsol.com/privacy

Consent request

We require your consent in order to send you personalized offers that will allow you to save money and enjoy all the benefits the Repsol Group has to offer.

  • I want to benefit from discounts, offers, and exclusive advantages. Consequently, I hereby accept all the following processing activities (ticking this box accepts all processing activities):
    • I want to receive the best offers and discounts suited to me. Consequently, I hereby provide my consent for Repsol Lubricantes y Especialidades, S.A. to profile my data using information held by all other Repsol Group companies1.
    • I want other Repsol Group companies1 to be able to design the best offers and discounts for me. Consequently, I hereby authorize the transfer of my data for the purposes of enriching and creating profiles.
    • I want to receive preferential conditions offered by third parties. Consequently, I hereby authorize them to send me sales information about the products and services described2.

 

Duration

The Lubricants Portal will be accessible at all times while it remains active.

RLESA reserves the right to cancel the Online Service at any time, without this giving rise to any right to compensation.

 

Customer service

We welcome any comments or suggestions you may have. RLESA makes the following Customer Service means available to communicate suggestions, questions, or any other type of incidents, complaints, and/or claims related to the Online Service, by sending an email to crcpedidos@repsol.com or to your assigned sales person.

 

Order cancelation

  • RLESA reserves the right to cancel or reject orders for any of the following reasons:
  • When there are signs that the Order or request may be fraudulent, poses a risk for system security, or represents any other kind of risk.
  • Due to force majeure.
  • Due to a breach of the Contract.

 

Applicable law

These Conditions of Use are regulated by Spanish legislation.

You expressly agree to submit to the jurisdiction of the courts of your registered address in Spain to resolve any disputes that may arise in relation to registration for and the use of the Lubricants Portal Online Service. If your registered address is not in Spain, you shall submit to the Courts and Tribunals of the city of Madrid.
