Repsol International Capital Limited is a company belonging to the Repsol YPF Group, in which Repsol YPF, S.A. is the controlling company.
Repsol International Capital Limited has issued three series of Preference Shares. Series A shares are currently listed on the NYSE (United States of America). Series B and C are listed on the AIAF Fixed Income Market (Spain).
As a non-resident issuer in the European Union, with stock admitted to trading on an official secondary market, Repsol International Capital Limited is subject to Directive 2004/109/EC, of the European Parliament and of the Council of 15 December 2004 on the harmonisation of transparency requirements in relation to information about issuers whose securities are admitted to trading on a regulated market.
Repsol International Capital Limited has chosen Spain as the Home Member State for the purposes of said Directive and of Law 6/2007 of 12 April reforming the Securities Market Law to modify the system of takeover bids and issuer transparency, which incorporates said Directive into Spanish law, and of Royal Decree 1362/2007 of 18 October, which implements the Securities Market Law in relation to the transparency requirements regarding information on issuers whose securities are admitted to trading on an official secondary market or on other regulated markets in the European Union.
